1. Scope and Website Alignment

This Policy applies to all services, packages, retainers, consultations, digital deliverables, advertising support, lead generation work, virtual assistant services and related marketing or business support services supplied by Bookdup Ltd under the BookdUP Digital trading style.

It is drafted to align with the current BookdUP Digital website positioning, which presents the business as a provider of digital marketing services, lead generation, business marketing plans, Facebook and Google Ads support, virtual assistant services, social media management, web design, graphic design, bookkeeping, administration and internet research.

This Policy applies whether the order is placed through a website enquiry, contact form, direct email exchange, proposal, invoice, call booking, manual booking, recurring package sign-up or any other acceptance route used by Bookdup Ltd.

2. Business Model and Interpretation

Bookdup Ltd primarily contracts on a business-to-business basis. Where a client is a company, partnership, LLP, sole trader, charity, association, public body, school, clinic or any person engaging the services mainly for business, trade or professional purposes, the agreement shall be treated as a business contract.

· Consumer cancellation rights are not excluded where they apply as a matter of law. However, nothing on the website or in this Policy is intended to convert a business contract into a consumer contract.

· Any ambiguity shall be interpreted in favour of Bookdup Ltd preserving its rights to payment for time reserved, work performed, third-party costs incurred and management resource allocated.

3. Service Categories Covered

For operational clarity, Bookdup Ltd may classify work into one or more of the following categories:

· Consultation and strategy sessions, including business marketing plan reviews and growth consultations.

· Managed marketing services, including lead generation, digital advertising, campaign setup and campaign management.

· Recurring support packages, including virtual assistant services, administration support, social media management, research, design support and related business services.

· Project-based digital deliverables, including copywriting, graphic design, web design, setup work, landing pages, funnels, marketing assets, reports, account audits and implementation tasks.

· Third-party spend or pass-through costs, including advertising budgets, software, media spend, domain, hosting, subscriptions, freelancers or supplier charges approved by the client or reasonably required to fulfil the service.

4. General Payment and Booking Position

· All bookings, retainers, packages and project slots are subject to availability and are only secured once Bookdup Ltd issues confirmation or begins work.

· Invoices are due strictly in accordance with the payment terms stated on the invoice, proposal or package confirmation. Unless otherwise agreed in writing, fees paid are non-refundable once work has been scheduled, commenced or capacity has been reserved.

· Where Bookdup Ltd agrees staged billing, each stage is earned when that stage is started or the relevant resource is allocated, not only when the entire project is completed.

· Any deposit, onboarding fee, setup fee, discovery fee or advance instalment is non-refundable unless Bookdup Ltd expressly states otherwise in writing.

5. Cancellation by Clients

· A client may request cancellation only by written notice to Bookdup Ltd. Cancellation is not effective until acknowledged in writing.

· Where work has already commenced, the client remains liable for all fees accrued up to the cancellation date, together with any non-recoverable third-party costs, committed advertising spend and reasonable demobilisation or handover time.

· Where time has been reserved in the diary for meetings, onboarding, strategy, account setup, campaign build, design work, research or delivery blocks, Bookdup Ltd may charge for that reserved time even if the client later chooses not to proceed.

· If the client cancels a recurring monthly package or retainer, at least 30 days written notice is required unless a longer notice period has been agreed. Notice runs from the next billing date, not from the date the email is sent.

· No refund is due for any unused portion of a monthly service period where resource, account management or delivery time has already been allocated for that period.

6. No Refund Events

Without limitation, refunds will ordinarily not be given in any of the following circumstances:

· the client changes strategy, pauses trading, loses internal budget or decides not to continue;

· the client fails to provide approvals, access, content, data, passwords, feedback or instructions on time;

· campaign performance does not meet a subjective expectation where Bookdup Ltd has supplied the service with reasonable care and skill;

· a service involves time, knowledge, consulting, setup, research, administration, creative work or digital work that cannot practically be returned;

· the client fails internal compliance checks or platform rules imposed by Meta, Google, GoDaddy, payment gateways or other third-party systems;

· the client has used, downloaded, accessed, implemented or benefited from any deliverable, recommendation, report, setup or campaign output.

7. Rescheduling and Pauses

· Consultation calls, booked sessions and review meetings may be rescheduled by the client with at least 2 business days notice. Shorter notice may be treated as used time and may be charged in full.

· Bookdup Ltd may, but is not obliged to, allow a temporary service pause. Any pause does not waive fees already due and does not preserve historic pricing unless expressly confirmed.

· If a project or package is paused by the client for more than 14 days, Bookdup Ltd may reallocate resources and require a restart fee, re-onboarding fee or revised timeline before work resumes.

8. Performance, Results and Non-Guarantee Position

Marketing, lead generation and advertising outcomes depend on multiple variables outside Bookdup Ltd’s control, including market conditions, offer quality, ad budget, response speed, website conversion, client follow-up, pricing, creative approval times and third-party platform policies.

Accordingly, Bookdup Ltd does not offer refunds merely because a campaign, package or strategy does not generate a particular volume of leads, revenue, bookings or sales unless an express written performance guarantee signed by a director says otherwise.

9. Third-Party Costs and Ad Spend

· All media spend, platform charges, software subscriptions, app charges, stock assets, domain costs, hosting fees and other external supplier costs are non-refundable once incurred.

· Where Bookdup Ltd pays a third party on the client’s behalf, the client must reimburse that amount immediately on demand or in accordance with the agreed billing cycle.

· Bookdup Ltd is not responsible for refunding sums paid directly by the client to Meta, Google, GoDaddy, software providers or other third parties. Any claim for such sums must be made to the relevant provider unless Bookdup Ltd has expressly agreed otherwise in writing.

10. Chargebacks and Payment Disputes

· The client must raise any genuine billing query with Bookdup Ltd first and in good faith before initiating a chargeback, payment reversal or payment dispute.

· If a chargeback is made in relation to services already booked, commenced or supplied, Bookdup Ltd reserves the right to suspend all ongoing work immediately, recover its costs and fees in full, and charge reasonable administration costs associated with defending the dispute.

· All work product, licences, permissions and rights granted to the client may be suspended or revoked pending payment of the outstanding balance.

11. Consumer Distance Selling Carve-Out

If, and only if, a client is legally a consumer and the contract is concluded at distance or off-premises, the client may have statutory cancellation rights during the applicable cooling-off period.

Where such rights apply, and the consumer asks Bookdup Ltd to begin services during that period, the consumer agrees that Bookdup Ltd may charge for the proportion of services supplied up to cancellation, together with any non-recoverable third-party costs properly incurred.

Where digital content is supplied during the cooling-off period and the legally required consent and acknowledgement are obtained, the consumer may lose the right to cancel once supply begins.

13. Contact Route for Cancellation Requests

All cancellation requests, billing disputes and refund applications must be sent in writing to the BookdUP Digital contact channel used for the booking or to the published admin contact email.

A request is not valid if sent only by text, social media message, voice note or verbal conversation unless Bookdup Ltd confirms acceptance in writing.

14. Reservation of Rights

Bookdup Ltd reserves the right to amend this Policy, to refuse refunds where the contractual basis for a refund is not established, and to apply more specific cancellation or payment terms in a proposal, statement of work, package schedule, booking confirmation or signed service agreement. Where there is a conflict, the more specific document prevails to the extent of the inconsistency.
